1. Acceptance of Terms
By accessing or using our website or services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the services.
2. Eligibility
You must be at least 18 years old and able to form a binding agreement to use our services. If you use the services on behalf of an organization, you represent you have authority to bind that organization.
3. Description of Services
PicoCrate provides AI voice and communications services, including call handling, lead qualification, and scheduling workflows.
4. Accounts and Responsibilities
- You are responsible for account credentials and activities under your account.
- You agree to provide accurate information and keep it up to date.
- You are responsible for obtaining required customer consent for communications.
5. Acceptable Use
You agree not to misuse the services, including by:
- Violating law or third-party rights
- Sending unlawful, deceptive, or harassing communications
- Attempting unauthorized access, reverse engineering, or service disruption
- Using the service for spam, fraud, or prohibited telemarketing practices
6. Fees, Billing, Refunds, and Cancellation
Paid plans are billed in advance on a recurring basis unless otherwise stated in an order form or written agreement. You authorize us and/or our payment processor to charge applicable subscription fees, usage overages, taxes, and approved add-ons. Setup and implementation fees are non-refundable unless required by law. Subscription fees already paid are generally non-refundable, and we do not provide partial-month or unused-usage credits unless required by law or expressly stated in writing.
You may cancel renewal at any time from your account settings or by written notice to our support team. Cancellation stops future renewals and takes effect at the end of the current billing period unless otherwise stated in your plan or agreement.
7. SMS/Text Message Terms
With consent, we may send transactional and marketing SMS messages. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out and HELP for help. Carriers are not liable for delayed or undelivered messages. Consent is not a condition of purchase.
8. Service Levels and Support
We aim to provide reliable services and reasonable support response times, but we do not guarantee uninterrupted or error-free availability unless explicitly stated in a signed service-level agreement. Scheduled and emergency maintenance may temporarily affect service access.
9. Data Processing and Compliance
Where applicable, we process personal data on your behalf under our Privacy Policy and any written data processing addendum (DPA) executed between the parties. You are responsible for obtaining lawful consent and providing required notices to your end users.
10. Intellectual Property
We and our licensors retain all rights, title, and interest in the services, software, trademarks, and content. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from our materials.
11. AI and Service Disclaimers
AI-generated outputs may be incomplete, inaccurate, or unsuitable for certain decisions. You are responsible for reviewing and validating outputs before relying on them. The services are provided "as is" and "as available" without warranties.
12. Limitation of Liability
To the maximum extent permitted by law, PicoCrate LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability for all claims arising out of or related to the services will not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless PicoCrate LLC, its affiliates, and personnel from claims, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from your use of the services, your content, or violation of these Terms or applicable law.
14. Suspension and Termination
We may suspend or terminate access for security issues, non-payment, legal risk, or violations of these Terms. You may stop using the services at any time. Provisions that by nature should survive termination will survive.
15. Governing Law, Arbitration, and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Except where prohibited by law, any dispute arising out of these Terms or the services will be resolved by binding arbitration on an individual basis in Miami-Dade County, Florida. You and PicoCrate waive any right to participate in class actions, class arbitrations, or representative proceedings.
16. Force Majeure and Export Controls
We are not liable for delays or failures caused by events beyond our reasonable control, including internet outages, infrastructure failures, natural disasters, labor disputes, or government actions. You agree not to use the services in violation of U.S. export control or sanctions laws.
17. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the services after changes become effective constitutes acceptance of the revised Terms.
